1. Agreement to Terms

These Terms of Service ("Terms") govern your use of SyncShift365 — the workforce management platform including our website at syncshift365.com, our mobile applications, and our API (together, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

SyncShift365 helps businesses manage employee scheduling, time and attendance, leave, compliance, labour costing, and team communication. The Service is provided as a subscription, with plans including a free tier and paid tiers (currently Starter, Growth, and Enterprise). We may update, add, or remove features over time and will communicate material changes where practicable.

3. Accounts and Eligibility

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account
  • You are responsible for maintaining the confidentiality of your login credentials
  • You must provide accurate, current account information and keep it up to date
  • You are responsible for all activity that occurs under your account
  • You must not share accounts or permit unauthorized access to the Service

4. Organization Accounts and Roles

The Service is multi-tenant: users belong to organizations, and each organization has Owners, Managers, and Employees with different permissions. When you join an organization (by invitation, join code, or by creating the organization), your access is governed by the settings and permissions that organization has configured.

The organization that owns your account is responsible for the data it controls, including schedules, time entries, and employee records. If your access is removed by your organization, you may lose access to data within that organization.

5. Subscriptions, Billing, and Trials

  • Free tier: available without payment, subject to feature and member limits described on our website
  • Paid plans: billed in advance on a recurring basis (monthly or annual, depending on the plan selected)
  • Trial periods: new organizations receive a trial period (currently 14 days) of paid-plan features; if you do not upgrade before the trial ends, your organization continues on the free tier
  • Payment: fees are charged to the payment method you provide; late or failed payments may result in suspension of paid features
  • Changes: we may change pricing with reasonable advance notice; price changes do not affect your current billing period
  • Refunds: fees are non-refundable except where required by law or where we have materially failed to provide the Service

6. Acceptable Use

You agree not to misuse the Service, including by:

  • Using the Service for any unlawful purpose or in violation of applicable law
  • Attempting to gain unauthorized access to the Service, other users' accounts, or our systems
  • Uploading malicious code, attempting to disrupt, overload, or damage the Service
  • Using the Service to store or transmit illegal, defamatory, or infringing content
  • Harassing, threatening, or discriminating against other users
  • Reverse engineering, decompiling, or attempting to extract the source code of the Service
  • Reselling or sublicensing the Service without our written consent

We may suspend or terminate accounts that violate these Terms or that pose a risk to the Service or other users.

7. Your Data and Intellectual Property

You retain ownership of the data you and your team enter into the Service ("Your Data"). You grant us a limited license to host, process, and display Your Data solely to provide the Service to you. We do not sell Your Data and do not use it for advertising.

The Service itself — including its software, design, trademarks (including "SyncShift365"), and documentation — is owned by us and protected by intellectual property laws. Nothing in these Terms grants you ownership of the Service or its components.

8. Data Retention and Deletion

You may export or delete Your Data at any time within the Service. When you delete your account, we will delete Your Data (subject to legal retention requirements and the rights of organizations you belong to, which may retain records such as completed timesheets as required by law). 9. Availability and Support

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, upgrades, or reasons beyond our control. Support is provided via the channels described on our website; support levels may vary by plan.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, we do not warrant that the Service will meet your requirements or that operation will be uninterrupted or error-free.

SyncShift365 provides tools to assist with workforce management. We are not your employer and are not responsible for your compliance with employment, health and safety, or other regulations applicable to your business.

11. Limitation of Liability

To the maximum extent permitted by law, SyncShift365 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the Service to you creates a risk to us or other users. Upon termination, your right to use the Service ceases, and we will handle Your Data in accordance with these Terms and our Privacy Policy.

13. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page and, where appropriate, by email to account holders. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.
